By accessing or using Covalence ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.
2. Description of service
Covalence provides a B2B enterprise performance enablement platform that includes performance reviews, peer recognition, AI-synthesized feedback, and integrations with third-party tools including Linear, Jira, GitHub, and Slack. The Service is provided as-is subject to these terms.
3. Account registration
You must register for an account to access the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.
4. Acceptable use
You agree not to use the Service to harass, defame, or discriminate against any person or organization. Feedback, reviews, and recognition submitted through the Service must reflect genuine professional interactions. Covalence reserves the right to remove content that violates these terms.
5. Intellectual property
Covalence retains all rights to the platform, its design, and its underlying technology. You retain rights to the feedback and content you submit through the Service. You grant Covalence a limited license to use your submitted content for the purpose of operating and improving the Service.
6. Third-party integrations
The Service may integrate with third-party services you connect. Those services are governed by their own terms and privacy policies. Covalence is not responsible for the actions, content, or data practices of any third-party service.
7. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Covalence does not guarantee that the Service will be uninterrupted or error-free.
8. Limitation of liability
To the maximum extent permitted by applicable law, Covalence and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service.
9. Termination
Covalence may suspend or terminate your access to the Service at any time for violation of these terms or for any other reason upon reasonable notice. Upon termination, your right to access the Service ceases immediately.
10. Changes to terms
We may update these terms from time to time. We will provide notice of material changes by updating the date at the top of this page or via email. Continued use of the Service following notice constitutes acceptance of the modified terms.
11. Governing law
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. Any disputes arising under these terms shall be resolved in the state or federal courts located in Delaware.
